PRINCETON, N.J., May 19, 2020 (GLOBE NEWSWIRE) -- Clearway Energy Operating LLC (“Clearway Operating”), a subsidiary of Clearway Energy, Inc. (NYSE: CWEN, CWEN.A) (“Clearway Energy”), has priced its upsized offering of $250 million in aggregate principal amount of its 4.750% Senior Notes due 2028 (the “Additional Notes”). The Additional Notes will be issued at 102.0% of par, plus accrued interest from December 11, 2019. The offering is expected to close on May 21, 2020, subject to customary conditions.
The Additional Notes are being offered as an additional issue of Clearway Operating’s existing $600 million aggregate principal amount of 4.750% Senior Notes due 2028 that Clearway Operating issued on December 11, 2019 (the “Initial Notes”). The Additional Notes will be issued under the same indenture as the Initial Notes, will be treated as a single class of debt securities with the Initial Notes and will have the same terms, other than the issue date and offering price. Like the Initial Notes, the Additional Notes will be senior unsecured obligations of Clearway Operating and will be guaranteed by Clearway Energy LLC, Clearway Operating’s parent company, and by each of Clearway Operating’s wholly owned current and future subsidiaries that guarantees indebtedness under its credit agreement.
Clearway Operating intends to allocate an amount equal to the net proceeds from the offering of the notes to finance or refinance, in part or in full, new and existing projects and assets meeting certain renewable energy generation eligibility criteria. Specifically, Clearway Operating intends to use the proceeds of the offering to fund the repayment at maturity, on June 1, 2020, of the $45 million outstanding aggregate principal amount of Clearway Energy’s 3.25% convertible notes due 2020, as well as to fund the repayment of outstanding borrowings under Clearway Operating’s revolving credit facility and for general corporate purposes.
The Additional Notes and related guarantees are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), or outside the United States to persons other than “U.S. persons” in compliance with Regulation S under the Securities Act.
